This terms of use agreement sets forth the standards of use of formationswise.co.uk (Website/ Website software/Order management/Portal/Website application/Social media/Apps) which is operated by Formations Wise. It’s sister companies or subsidiaries (We).

If you do not agree to the terms and conditions of this agreement, you should immediately cease all usage of this Website. We reserve the right, at any time, to modify, alter, or update the terms and conditions of this agreement without prior notice. Modifications shall become effective immediately upon being posted at Formations Wise website. Your continued use of the service after amendments are posted constitutes an acknowledgment and acceptance of the agreement and its modifications.
All information on the Website, blogs and social media pages is provided for information purposes only and does not constitute legal, tax or professional advice. Therefore, it cannot be used and should not be relied upon. When you order a product or service from Formations Wise website, you agree to purchase the requested service in accordance with these Terms. Your order request is subject to acceptance by us and we reserve the right to decline or refuse any such requests in our sole discretion without providing any reason. It is your responsibility to ensure that the product or Service your ordered is suitable for your needs.
You must read and understand all information about the applicable product or service before placing your order. If you have any questions, you should seek professional advice from third party advisors, before ordering from our website. Placing an order is your sole responsibility. We do not provide legal, accounting or tax advice and if you have any questions, contact us before placing your order.
Our web portal provides an account facility which allows you to gain additional privileges and also to purchase products or services. If you choose to register an account with us, you are solely responsible for maintaining the confidentiality and security of your account and for all activities that occur on or through this web account. You should never disclose your account information to anyone else. You agree to immediately notify Formations Wise of any security breach of your account. Formations Wise is not responsible for any losses you incur out of unauthorised use of your account. You agree to indemnify us for any loss or damage you may incur resulting from your account breach.
Some of our products or services ordered from this website may require recurring payment. By using our website, you are granting us automatic and recurring payment authority of the card used to purchase the product or service (or an alternative one, if supplied). Some of our services which would incur automatic recurring payments are (but not limited to) registered office address service, directors address service, business address service or mail forwarding service.
We will send you a notice in advance of expiry date of our intention to process payment. You will also have the right to cancel the service.
We will notify your new registered office (or directors service address) details at Companies House only if you purchase address services along with our company formation packages. If you purchase registered office or directors service address solely for your already existing company, then you are responsible for updating your address records at the Companies House.
Our registered office service is provided to receive only your official (statutory) post. Official post is defined as letters from HMRC, Companies House and the Courts of England and Wales. By purchasing an address service from Formations Wise, you are authorising us to receive, sort and forward mail on your behalf. We will not accept non-statutory mail for you or your company through our registered office service or directors service address. To receive business mail at our offices, you should purchase our business address service (or mail forwarding service).
We accept no responsibility or liability for any loss they may incur due to non-delivery of post (both incoming and outgoing).
By purchasing any of our address services (registered office, director’s service address or business address/mail forwarding service), you consent to providing certified proof of ID and proof of address (the required ID), to ensure we fulfil our obligations regarding The London Local Authorities Act, and the current Anti-Money Laundering (AML) regulations and Know Your Customer (KYC) requirements. Failure to comply with the ID requirements within 21 days of purchase, will result in a cancellation of the service and no refund will be provided.
If you fail to pay for renewal of your registered address service (or director’s address service) before the due date, you will be deemed irrevocably to have authorised us to change, with immediate effect, your registered address (or director’s service address) to your residential address or any other address you have previously provided us for this purpose. This new address information will be registered with Companies House (and displayed on public record).
We reserve the right in our sole discretion to terminate any of our address service (without a refund if we cancel) in the event of abuse of the service (for example using our address as a return address for faulty goods or returns). We will remove our address from Companies House and change to your residential address or any other address you have previously provided us for this purpose.
No refunds are provided if you change your registered office address during course of the year.

Once the Registered Address service has been activated, it is the responsibility of the director to change the address details with Companies House. If you would like us to change the address details for you, we can do this for a separate one-off fee.
Once you have ordered and paid for the service, the above address may be used as your company’s official address with Companies House & HMRC only. Official UK Government mail received that is addressed to the company will be uploaded to your portal and an email notification sent to your email address. Official mail includes mail received directly from Companies House, HM Revenue & Customs, HM Courts & Tribunals Service, and the Intellectual Property Office.
Any other non-official or business mail will be returned to the sender and will not be processed, we will however inform you where possible of the return address.
For clarity, any mail received from third parties of UK Governments, such as debt collectors for HMRC, is not accepted as this is considered business mail. Mail received from local governments such as (but not limited to) local councils, local police/authorities and Trading Standards is also considered business mail and will not be processed.
Please note that if you use the registered address on your website in line with requirements of the Companies Act 2006, this address must be clearly labelled as the Registered Office address, and must not be presented in a way that implies it is a general trading or contact address. The Registered Office address should ideally be included under a separate section such as “Company Information” or “Legal Information,” or clearly labelled if within another section like “About Us”. The Registered Address should not be listed under the “Contact Us” section on your website unless there is a clear statement that it is not for general correspondence or visits.
The Registered Office address service is an annual service and must be paid in full before the service is activated. Payment is due upfront for a 1-year period and the service cannot be cancelled or refunded (fully or partially) in this period even if you cancel your engagement with us. We will reach out to you before the expiry of the service and confirm whether you wish to renew the service for another year. The payment for the renewal must be received before the expiry date of the current period, otherwise we cannot guarantee an uninterrupted service.
If the service is renewed after the expiry date of the active period, an additional late renewal fee of £15 + VAT will be charged.
Please note that non-payment or delayed payment for the Registered Office address service may result in your company’s address being changed to the Default Address by Companies House, which may lead to your company being dissolved. In such cases, we do not accept any liability for the actions that Companies House may take against your business.
If the Registered Office address service is suspended or expires without being renewed, it is the responsibility of you as the director to change the Registered Office address with Companies House, HMRC and any other relevant parties.
We do not accept any responsibility for your company’s address or any actions that Companies House may take once the Registered Office Address service with us has expired or been suspended, including but not limited to Companies House changing your company’s address to the Default Companies House address, or applying to strike your company off the register.

Once the Director’s Service Address service has been activated, it is the responsibility of the director to change the correspondence address with Companies House. If you would like us to change the address details for you, we can do this for a separate one-off fee.
When purchased with the Registered Office Address service, the above address may be used as the correspondence address for directors or Persons With Significant Control (PSC) on the Companies House register only. This address will be visible on the public register and is separate from your home address which Companies House hold but do not publish on their website.
Official UK Government mail received that is addressed to the director(s)/PSCs will be uploaded to your portal and an email notification sent to your email address. Official mail includes mail received directly from Companies House, HM Revenue & Customs, HM Courts & Tribunals Service, and the Intellectual Property Office.
Any other non-official or business mail will be returned to the sender and will not be processed, we will however inform you where possible of the return address.
The Director’s Service address is an annual service that can only be purchased in conjunction with the Registered Office Address service, and must be paid in full before the service is activated. Company formation service
You can cancel your company formation order within 14 days of the order date. You will receive a full refund minus a £4.99 administration charge. No refunds will be issued after 14 days of your order date. However, if your information is already submitted to Companies House, no refund will be issued even if your company formation is rejected.
Address services
If you fail to supply us with the ID and address proof (as per the current Anti-Money Laundering regulations and Know Your Customer requirements), we will cancel your address service and no refund will be issued.
All other products and services
If you purchase any other products or services, and provided we have not started working on it, a full refund minus £10 administration charge will be issued to you if you cancel within 14 days of your order. No refunds will be issued after 14 days of your order date.
You are responsible for all activities that occur under your password or account, and will keep your password(s) confidential. You will immediately notify us of any unauthorised use of your password or account or any other breach of security. You will not disrupt the functioning of the Service, solicit another user’s password, or otherwise act in a way that interferes with other users’ use of the Service. Nor may you post or distribute any computer program that damages, detrimentally interferes with, surreptitiously intercepts, or expropriates any system, data, or personal information.
This Website and apps may contain links to other websites provided by third parties who offer products and services. These links can also be a part of our promotional activities. Such this party sites are completely independent of this site and as we have no control over them. We accept no liability in respect of your use or inability to use them or any of the content of such third-party sites.
